ACCA LW: Corporate and Business Law

Every ACCA journey needs a paper that builds momentum, and for a great many students that paper is LW. Corporate and Business Law, once coded F4, is the one Applied Skills exam that trades spreadsheets and computations for statutes, cases, and legal reasoning. It is different in almost every way from the other papers at this level — and it is also the most successfully passed paper in the entire qualification.

What is ACCA LW?

LW, Corporate and Business Law, is a law paper. Rather than crunching numbers you learn how the legal system works and how it shapes the world of business — from the contracts companies sign to the rules governing how they are formed, run, and occasionally wound up. It is built on knowledge and understanding rather than calculation, and it is refreshingly achievable.

Sitting at Applied Skills, LW posted a remarkable 82% pass rate in December 2025, comfortably the strongest result across the whole qualification, against the standard 50% pass mark. Small wonder that so many students choose LW early in their studies to build confidence and momentum. Its value does not stop at the exam hall. The knowledge you gain of governance, company law, and ethics resurfaces later in papers such as AA (Audit and Assurance) and SBL (Strategic Business Leader), so the effort you invest here quietly rewards you again further down the road.

In one line: LW teaches the legal system that shapes business — contracts, companies, employment, insolvency and corporate wrongdoing — in a two-hour objective exam with the highest pass rate in ACCA.

Who LW is for

LW is living proof that not every ACCA paper revolves around numbers. For many students it becomes a genuine highlight — an approachable, interesting subject that happens to carry the best pass rate in the qualification. It suits anyone who wants an early, confidence-building win at Applied Skills.

  • Students who want to build momentum early — LW is often chosen first at Applied Skills.
  • Anyone who prefers knowledge and legal reasoning to heavy calculation.
  • Students heading toward AA or SBL, where governance, company law and ethics resurface.

Settle this early: choose the correct variant for your circumstances (English, Global, or a national version), and study the syllabus edition that matches your exam sitting. A high pass rate rewards those who prepare, not those who simply wing it.

Syllabus & topics covered

LW is organised into eight connected areas that, taken together, tell the story of a business from cradle to grave. Using the English variant as our guide, the path begins with how the legal system itself operates, moves through the contracts and obligations that underpin commerce and the essentials of employment law, then turns to companies — how they are formed, financed, managed, and regulated — before closing with insolvency and corporate wrongdoing. The Global and national variants follow a similar arc, adapted to their own legal systems.

A

Essential elements of the legal system

How the legal system itself operates — the starting point for every later topic.

B

The law of obligations

Contract and tort. Contract law is the backbone of this section and a perennial favourite.

C

Employment law

Rights, duties, and the ending of employment — a higher-yield area that rewards extra attention.

D

Formation and constitution of business organisations

How businesses come into being and are structured — company formation and constitution.

E

Capital and the financing of companies

How companies are financed and the legal rules around capital.

F

Management, administration and regulation

Directors' duties and company management — a rich source of both objective and scenario questions.

G

Insolvency law

What happens when a company cannot pay its way — the legal consequences when things go wrong.

H

Corporate fraudulent and criminal behaviour

Corporate wrongdoing and the legal response — another higher-yield closing topic.

With 45 questions in Section A alone, the whole syllabus is genuinely examinable, so overly selective revision is a gamble. The wise approach is breadth first, then depth: cover everything, then reinforce contract law, company formation, directors' duties, employment law, and insolvency and fraudulent behaviour.

LW exam format

Here is where LW truly breaks the mould. It is a two-hour computer-based exam, a full hour shorter than the technical Applied Skills papers, and it contains no long written answers whatsoever. Every question is objective or task-based, and all are compulsory. The paper has two sections.

Section A45 OTQs (20 × 1 mark + 25 × 2 marks) = 70 marks, randomised across the syllabus
Section BFive 6-mark multi-task questions (30 marks), each built around a short problem scenario

Because Section A can reach into every corner of the syllabus, broad coverage is essential — there is nowhere to hide, but equally, no single topic can sink you. The multi-task questions carry 30 marks and repay dedicated practice.

Where LW fits in the ACCA pathway

LW sits in Applied Skills as the law paper. Many students take it early to build momentum. Governance, company law and ethics then resurface in AA and in SBL at Strategic Professional.

Prepare broadly, practise plenty of questions, and you can make LW an early and thoroughly satisfying success — living proof that not every ACCA paper revolves around numbers.

How to prepare for LW

LW rewards understanding and steady recall rather than heavy calculation, which calls for a slightly different study rhythm. Prepare broadly, practise plenty of questions, and you can make LW an early and thoroughly satisfying success.

  • Read widely and often. With the whole syllabus in play, consistent reading beats any last-minute scramble. Revising too narrowly is genuinely dangerous.
  • Learn the key cases and rules. A handful of landmark cases and statutory rules underpin a great many questions.
  • Drill hundreds of objective questions. Familiarity with the question style is half the battle in Section A.
  • Master the multi-task questions. Section B rewards applying the law to a scenario — memorising without understanding will not do.
  • Consult the examiner's reports. They highlight the topics students most often misunderstand.
  • Rehearse on the CBE Practice Platform. Knowing the exam interface removes any nasty surprises on the day. Do not underestimate the paper: a high pass rate rewards those who prepare.
